CHAPTER 1 – TERMS OF THE WEB BIOSPHERE SUSTAINABLE

By agreeing to these Terms and Conditions, you declare that your age at the time of using our products allows you to use our services with full capacity, in accordance with your national legislation, either because you are of legal age, because you are below the legal age but your national personal legislation allows it or because you are an emancipated minor according to the legislation, provided you have not been declared incapable or that your legislation does not go against the public order established by the Spanish legislation in force in this regard.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

It must not transmit worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

We reserve the right to refuse service to anyone for any reason at any time.

CHAPTER 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed fraudulently.

Likewise, we reserve the right to penalise purchases made by means of payment other than the payment gateway enabled on the platform, provided that the conditions of use of the requested payment method are not met. In the case of payment by bank transfer, if the subscription code provided is not used in due time and form, we reserve the right to take the necessary measures to proceed with the reimbursement and the corresponding penalty for the technical-administrative procedures derived from the same.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our website. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

CHAPTER 7 – ACCESS TO THIRD PARTIES

CHAPTER 12 – REQUIREMENTS AND VERIFICATION TO SUBSCRIBE TO OUR SERVICES

The annual subscription to our platform is valid on a limited, non-exclusive and revocable per entity on an individual basis without being subject to transfer. The subscription to RTI services does not include the typology of business group or chain, and each entity of a group or chain must subscribe under the typology that applies to it, guaranteeing that each entity of the group or chain that wants to make use of the licenses and services of RTI enjoys its own individual and non-transferable subscription. The service will remain in force as long as Responsible Tourism Institute or the subscriber does not terminate the service.

Responsible Tourism Institute reserves the right to provide services if the subscription of the entity made by the subscriber does not comply with the conditions established for its type of company. Likewise, Responsible Tourism Institute reserves the right to terminate or suspend access to the subscription service if the requirements detailed above are not met. You agree to respect the guidelines, terms and conditions of Biosphere Responsible Tourism S.L and not to use the content of the subscription, nor any part of the services that it may include that is not permitted in these terms.

CHAPTER 13 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that your use of our products and services will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of our products and services will be accurate or reliable.

You agree that from time to time we may remove the access to our products and services for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, our products and services is at your sole risk. All products and services delivered to you are (except as expressly stated by us) provided ‘as is’ and ‘as available’ for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall the Responsible Tourism Institute, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the products or service using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Subject to applicable law, you agree that your sole and exclusive remedy for any problems or dissatisfaction with the Responsible Tourism Institute Service is to discontinue using the Responsible Tourism Institute Service. You further agree that Responsible Tourism Institute has no obligation or liability arising from any third party applications or content made available through the Responsible Tourism Institute Service, your sole and exclusive remedy, as it relates to Responsible Tourism Institute is to discontinue using such third party applications.

In no event shall Biosphere Responsible Tourism S.L, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers or licensors be liable for any indirect, special, incidental, punitive, exemplary or consequential damages; any loss of use, data, business or profits, direct or indirect, in all cases arising out of the use of or inability to use the Responsible Tourism Institute services. L. Any liability we may have for losses suffered by you will be strictly limited to losses that are reasonably foreseeable.

Any claim must be commenced by filing a claim within ONE (1) YEAR from the date on which the party asserting the claim first becomes aware, or should have first become aware, of the act, omission or default giving rise to the claim; and no remedy shall be available for any claim not asserted within such period. If applicable law prohibits a one-year limitation period for asserting claims, any claim must be asserted within the shortest period permitted by applicable law.

Responsible Tourism Institute and all Biosphere business units reserve the right not to recognise those Biosphere certification and/or commitment badges awarded to company profiles that do not comply with the terms and conditions established in this document for their subscription. The subscribing company is responsible for the use it makes of the distinction materials available for download on the Biosphere platform, accepting the following conditions with the use of the service:

  • To keep the certification and commitment materials up to date, without compromising the source codes that guarantee the traceability of metadata and real-time information on their validity.
  • Do not use materials from third party entities for untruthful communication of the status of the company in question, which must be correctly subscribed to Biosphere.
  • Not to make use of Biosphere brand image materials not officially received without prior authorisation from Biosphere's official channels and departments.
  • In the case of entities subscribed to Biosphere under the typologies "Travel Agencies" and "Tour Operators", the distinctive signs of commitment and Biosphere certification that they may hold, make reference to the business activity of the business unit, not being able to use the materials of distinction for a communication of their packages or travel products as "Biosphere committed" or "Biosphere Certified". Under no circumstances shall the certification of this type of company make any allusion to the fact that any of its travel packages or products marketed as tour operators are certified by Biosphere.

CHAPTER 14 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless the Responsible Tourism Institute and our platform, delegations, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

CHAPTER 15 – SEVERABILITY

In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.

CHAPTER 16 – TERMINATION

Upon the termination of the obligations and responsibilities of certain parties incurred in certain products or services, the effective date and the application of the provisions of these Terms and Conditions for the completion of all fines.

These Terms and Conditions are effective unless and until terminated by either you or us. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms and Conditions, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our products and services (or any part thereof).

CHAPTER 17 – ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms and Conditions).

The ambiguities in the interpretation of these Terms and Conditions will not be construed against the editor.

CHAPTER 18 – GOVERNING LAW

In order with the provisions of Regulation 593/2008 on the law applicable to contractual obligations (Rome I), these Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the European Union (EU) and subsidiarily in the absence of specific legislation of the European Union, they will be interpreted and governed in accordance with the Laws of the Kingdom of Spain.

CHAPTER 19 – THE CASE OF CONTROVERSY

In the case of controversy regarding compliance with privacy policies, the parties expressly and irrevocably submit to the jurisdiction and competence of the courts of first instance located in Santa Cruz de Tenerife, Spain, waived, from now on, to the jurisdiction that, by reason of their present or future domicile, could correspond to them.

The Responsible Tourism Institute may terminate these Terms, including any additional terms and conditions incorporated herein, or suspend your access to its services at any time if we believe that you have breached any of these Terms, if we cease to provide the Biosphere Responsible Tourism S.L Service or any material component thereof on reasonable notice, or if we believe it is necessary to comply with applicable law.

In the event that either you or The Responsible Tourism Institute terminate these Terms, or in the event that The Responsible Tourism Institute suspends your access to its services, you agree that The Responsible Tourism Institute, subject to applicable law, shall have no liability to you and, except as expressly provided in these Terms, The Responsible Tourism Institute will not refund any amounts paid by you. You may terminate these Terms at any time, in which case you may no longer access or use Responsible Tourism Institute services. If you wish to find out how to terminate your Biosphere Sustainable account, please use the Customer Service resources.

The sections of this document, as well as any other clause of these Terms that, explicitly or by their nature, must remain in force even after the termination of these Terms, shall remain in force.

 

CHAPTER 20 – RETURNS POLICY

This returns policy applies in addition to statutory rights of withdrawal and does not affect these rights in any way. Your statutory rights of withdrawal are set out below.

To exercise your rights under our Returns Policy, you must inform us of your decision within 14 calendar days of the purchase of your annual subscription to our services. Where the return request is timely and satisfactory, we will credit you the full amount you paid, and you will receive a refund within 14 working days.

All refunds will be made to the same account and by the same payment method used for the purchase. To request a refund, you must send your query to info@biospheretourism.com, identifying the data necessary to verify your order number and transaction associated with the purchase, which will be required by our teams to carry out the appropriate steps for the refund.

Ineligible subscriptions.

Subscriptions that have been used on at least 1 day of services are not eligible for returns or refunds under this Return Policy; unless otherwise provided by law or by a specific offer, all purchases of subscriptions that have actually been used in the system are final and non-refundable under this Return Policy.

Statutory Right of Withdrawal.

If you are a consumer, you have a statutory right of rescission. A consumer refers to all natural persons who enter into a legal transaction for purposes that are predominantly outside their industry, business or profession. Payments to User.

If we are required to pay you any amount, you must promptly and accurately provide the Biosphere team with all the information we request to get it to you. Except for payments made in accordance with the Refund Policy section above, or those arising from the exercise of your statutory termination rights, the User is responsible for any taxes and charges incurred as a result of the payment of such amount. Similarly, the User must comply with any other conditions applicable to the right to receive any payment. If we mistakenly make a payment to you, we reserve the right to reverse or demand a refund from you at any time within one year (365 days) from the date on which the improper payment was incurred. In accordance with these terms and conditions to which you agree, you will cooperate with us in our efforts in this regard. We also reserve the right to reduce the payment in your favor without prior notice whenever it is necessary to adjust any previous overpayment.

CHAPTER 21 – FINAL PROVISIONS I

In general, the Responsible Tourism Institute will not communicate this personal data to third parties, with the exception that the provision of a service implies the need for a contractual relationship with a person in charge of processing and this is strictly necessary to manage and maintain the relationship between the user and the aforementioned company, with express authorization by the user. We inform you that we have contractual relationships with the following companies of the same business group, therefore, it is necessary that these companies have access to your personal data to adequately perform the obligations emanated from the subscribed contract:

This will be done only during the time necessary to enable the execution of the contract of commission, and under the same conditions and with the same responsibility that is required of the responsible party.

Once the order has been finalized, the person in charge of the treatment will return the Personal Data to the Responsible Party and will delete any copy of it that is available.

On the other hand, only the third parties with whom the Responsible Tourism Institute has a legal or contractual obligation with, will have access to this personal data, which include, for example, the Ombudsman and Judges and Courts interested in the procedures related to the presented claims.

These Terms and Conditions shall constitute the entire agreement between the parties in relation to the subject matter.
